Terms of Service

These terms govern your access to and use of Quick Flash, our cloud-based software for roofing and trades businesses.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Quick Flash ("Quick Flash," "we," "our," or "us") governing your access to and use of the Quick Flash website, web application, mobile applications, APIs, documentation, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.

2. Description of Service

Quick Flash is a software-as-a-service (SaaS) platform designed to help roofing and related trades businesses manage operations such as job management, ordering, scheduling, documentation, reporting, and manufacturer coordination. We may add, modify, or discontinue features at any time.

The Service is provided on a subscription or trial basis unless otherwise agreed in writing. We do not guarantee uninterrupted or error-free operation.

3. Permitted Use and Access Grant

Subject to your compliance with these Terms and payment of applicable fees, Quick Flash grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for:

  • Internal business operations — running, managing, and supporting your own legitimate roofing or trades business activities; and
  • Evaluation — assessing whether the Service meets your internal business requirements during a trial or paid subscription period.

Scope of access

Your access is granted only for your own internal use. You may not use the Service on behalf of any third party, resell access, provide the Service as a bureau or managed service to others, or use it for any purpose other than your own internal business operations and evaluation as described above.

Any use beyond this limited grant — including competitive research, product development for third parties, or commercial exploitation of Service content or functionality — is strictly prohibited unless expressly authorized in writing by Quick Flash.

4. Eligibility and Account Registration

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. You agree to provide accurate, current, and complete registration information and to keep it updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly of any unauthorized access or security breach.

We reserve the right to refuse registration, suspend accounts, or terminate access at our discretion, including where we reasonably believe you are ineligible, misrepresented your identity or affiliation, or violate these Terms.

5. Subscriptions, Trials, and Payment

Paid features require an active subscription. Fees, billing cycles, and plan limits are described at signup or in your account. Unless stated otherwise, subscriptions renew automatically until cancelled.

  • Fees are quoted exclusive of applicable taxes unless stated otherwise.
  • We may change pricing with reasonable notice; changes apply at the next renewal unless required by law.
  • Free trials may convert to paid plans unless cancelled before the trial ends.
  • Except where required by law, fees are non-refundable once a billing period has commenced.

Failure to pay may result in suspension or termination of access without liability to you.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights;
  • Upload malicious code, interfere with the Service, or attempt to gain unauthorized access;
  • Harass, abuse, or harm others or transmit unlawful content;
  • Overload, disrupt, or impair Service infrastructure or other users' access;
  • Circumvent usage limits, security measures, or access controls;
  • Use automated means to access the Service except through documented APIs we expressly authorize;
  • Misrepresent your identity, affiliation, or intended use of the Service.

7. Competitor and Competitive Intelligence Prohibition

Quick Flash invests significant resources in developing proprietary software. To protect our business, intellectual property, and customers, the following restrictions apply without exception.

7.1 Who may not use the Service

You may not register for, access, trial, subscribe to, or use the Service — directly or indirectly — if you or any person or entity on whose behalf you act:

  • Develops, markets, sells, licenses, distributes, or operates software or services that compete with Quick Flash or that are intended for roofing, cladding, flashing, trades job management, or similar markets;
  • Is employed by, contracted to, invested in, advised by, or otherwise affiliated with a competitor or potential competitor of Quick Flash;
  • Provides consulting, design, development, research, or benchmarking services to a competitor relating to products or features comparable to the Service;
  • Intends to use insights from the Service to design, build, enhance, or market a competing product or service.

7.2 Prohibited competitive activities

Whether or not you are a competitor, you must not:

  • Use the Service for competitive analysis, feature comparison, pricing intelligence, or market research aimed at developing or improving competing software;
  • Scrape, crawl, harvest, copy, export, or systematically collect data, content, UI elements, workflows, pricing, documentation, or metadata from the Service;
  • Record, screenshot, screen-capture, or document the Service at scale for competitive purposes;
  • Share account access, credentials, exports, or observations about the Service with any competitor or software developer building similar products;
  • Use trial, demo, or evaluation access as a substitute for legitimate internal business operations.

7.3 Disclosure and verification

By registering, you represent and warrant that you are not a competitor and are not acting on behalf of one. We may request information to verify eligibility and may use technical, contractual, and legal means to enforce this section.

Enforcement

If we reasonably determine that you are a competitor, are assisting a competitor, or have engaged in prohibited competitive activity, we may immediately suspend or terminate your account without refund, pursue injunctive relief, and take any other remedies available at law or in equity. Violation of this section constitutes a material breach of these Terms.

8. Reverse Engineering and Technical Restrictions

Except to the limited extent expressly permitted by applicable law notwithstanding this restriction, you must not, and must not permit any third party to:

  • Reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive source code, underlying ideas, algorithms, or architecture of the Service;
  • Copy, modify, adapt, translate, or create derivative works based on the Service or any part thereof;
  • Remove, alter, or obscure proprietary notices, labels, or digital rights management;
  • Probe, scan, or test vulnerabilities of the Service or breach security or authentication measures;
  • Use bots, scrapers, spiders, scripts, or other automated tools to access, index, or extract data from the Service;
  • Intercept, monitor, or interfere with communications or data flows to or from the Service;
  • Access the Service to build, assist in building, or support a product or service that competes with Quick Flash.

Software developers, agencies, and contractors working on competing or substantially similar products are expressly prohibited from using the Service, even if their stated purpose is evaluation or client work unrelated to Quick Flash.

9. Intellectual Property

The Service, including all software, designs, text, graphics, logos, workflows, documentation, and other content provided by Quick Flash ("Quick Flash Content"), is owned by Quick Flash or its licensors and is protected by intellectual property laws.

You retain ownership of data and content you submit to the Service ("Customer Data"). You grant Quick Flash a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide and improve the Service, comply with law, and enforce these Terms.

Feedback you provide may be used by Quick Flash without restriction or compensation to you.

10. Confidentiality

Non-public aspects of the Service — including unreleased features, pricing not publicly published, technical documentation marked confidential, and performance characteristics — are Quick Flash confidential information.

You agree not to disclose confidential information to any third party except as required by law, and to use at least reasonable care to protect it. These obligations survive termination of your account.

11. Data and Privacy

Our collection and use of personal information is described in our Privacy Policy. You are responsible for obtaining any consents required for Customer Data you upload and for complying with applicable data protection laws in your jurisdiction.

12. Third-Party Services

The Service may integrate with third-party products (for example, calendar providers, accounting systems, or payment processors). Those services are governed by their own terms and policies. Quick Flash is not responsible for third-party services and does not endorse them.

13. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will meet your requirements, be uninterrupted, secure, or error-free, or that defects will be corrected. You use the Service at your own risk.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Quick Flash and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising from or related to the Service or these Terms, even if advised of the possibility of such damages.

Our total aggregate liability for all claims arising from or related to the Service or these Terms will not exceed the greater of (a) the amounts you paid to Quick Flash for the Service in the twelve (12) months before the event giving rise to liability, or (b) one hundred New Zealand dollars (NZD $100), except where liability cannot be limited by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Quick Flash and its affiliates from claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your Customer Data, your violation of these Terms, or your violation of any law or third-party rights — including claims arising from competitive misuse, scraping, reverse engineering, or unauthorized sharing of access.

16. Suspension and Termination

You may cancel your subscription according to account settings or by contacting us. We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, pose a security risk, or if we are required to do so by law.

Upon termination, your license ends and you must cease using the Service. Sections that by their nature should survive (including intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

17. Governing Law

These Terms are governed by the laws of New Zealand, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts of New Zealand for disputes arising from these Terms or the Service, except where mandatory consumer protection laws in your country require otherwise.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last Updated" date and, where appropriate, notified through the Service or by email. Continued use after changes take effect constitutes acceptance of the revised Terms.
